Interpretation and Definitions

Interpretation

Words with initial capital letters have meanings defined under the conditions below. The same definitions apply whether they appear in singular or plural.

Definitions

For the purposes of these Terms and Conditions ("Terms"):

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party. "Control" means ownership of 50 percent or more of the shares or other securities entitled to vote for directors or other managing authority.
  • Country refers to: Canada.
  • Company (referred to as "the Company," "We," "Us," or "Our") means Outhives Inc.
  • Device means any device that can access the Service, such as a computer, smartphone, or tablet.
  • Service refers to the OutBlue mobile application and related website(s) located at [https://www.outblue.app].
  • Terms and Conditions (also referred to as "Terms") mean this agreement between You and the Company governing use of the Service.
  • Third‑party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available by the Service.
  • Website refers to OutBlue, accessible at [https://www.outblue.app].
  • You means the individual accessing or using the Service, or the company or other legal entity on whose behalf that individual accesses or uses the Service, as applicable.

Acknowledgment

These Terms govern use of the Service and form a binding agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms and Our Privacy Policy. If You do not agree, You must not access the Service. You represent that You are at least 18 years old; the Service is not directed to children under 18.

Links to Other Websites

Our Service may contain links to third‑party websites or services not owned or controlled by the Company. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third‑party sites or services. We strongly advise You to review the terms and privacy policies of every third‑party site You visit.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason, including if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and its suppliers under any provision of these Terms shall be limited to the amount actually paid by You through the Service or 100 USD if You have not purchased anything through the Service.

To the maximum extent permitted by law, the Company and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to Your use of the Service.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages; thus the above limitations may not apply to You.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" with all faults and defects and without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties—express, implied, statutory, or otherwise— including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. The Company makes no warranty that the Service will meet Your requirements, be uninterrupted, error‑free, or secure.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Dispute Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

For European Union (EU) Users

If You are an EU consumer, You will benefit from any mandatory provisions of the law of the country in which You reside.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country subject to a U.S. government embargo or designated as "terrorist‑supporting," and (ii) You are not listed on any U.S. government list of prohibited or restricted parties.

Severability and Waiver

If any provision of these Terms is held unenforceable, that provision will be modified to reflect the parties' original intent to the maximum extent permitted, and the remaining provisions will remain in full force.

Failure to enforce any right under these Terms is not a waiver of future enforcement.

Translation Interpretation

If We provide a translation of these Terms, the English text shall prevail in the event of a conflict.

Changes to These Terms

We may modify or replace these Terms at any time. If a revision is material, We will provide at least 30 days' notice prior to new terms taking effect. By continuing to access or use the Service after revisions are effective, You agree to be bound by them.
